Corresponding with EBRAND MEDIA– Any correspondence with eBrand Media, or submission of content to us, including, but not limited to, any documentation, email, spreadsheets, reports, email lists, contracts, or images, is considered property of eBrand Media. eBrand Media reserves the right to reproduce such content, in whole or in part on its sites, and to use it in any way we choose, including sublicensing the content and allowing third parties to republish the material. In submitting something to us, you are representing that the content is yours to give to us, does not infringe on any third party’s rights – copyright, trademark, privacy rights and the like – and is not libelous or unlawful in any other way.
Jurisdiction and Applicable Law – This agreement is governed under California law. Any claim or controversy of whatever nature, including but not limited to malfeasance claims, failure to deliver on promises, failure to hit goals, defamation claims, libel claims, slander claims, tort or contract claims, claims based upon any federal, state or local statute, law, order, ordinance or regulations, and claims relating to or arising out any relationship before, at the time of entering, during the term of, or upon or after expiration or termination of this Agreement, and the issue of arbitrability, arising out of or relating to this Agreement or breach thereof, shall be resolved by final and binding arbitration, administered by the American Arbitration Association in Los Angeles, CA. Judgment upon the award may be entered in any court having jurisdiction. In the event a party brings a lawsuit, claim, or other legal action based on this Agreement in a court of law, such action must be brought in California. All users of eBrand Media hereby irrevocably consent to the personal jurisdiction of, and exclusive venue for any legal proceeding commenced by or on behalf of users of eBrand Media, in the state and federal courts sitting in Los Angeles County, California, USA. In any action or suit to enforce any right or remedy under this Agreement or to interpret any provision of this Agreement, eBrand Media shall be entitled to recover its costs, including reasonable attorney’s fees. Users of the site may not assign, sub-license, transfer, encumber or otherwise dispose of this Agreement without our prior written approval. This Agreement shall be binding upon and inure to the benefit of the parties’ successors and lawful assigns. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements or communications
